1. Introduction

VendorVib ("we", "us", "our") is operated by TribeMingle. VendorVib is the AI operating system for vendors: two AI employees who remember your business, sell in your DMs and run your operations, while you stay in control. The Business Manager keeps the business running. The Sales Manager sells in your WhatsApp, Instagram and Facebook DMs. Your store link and your shop counter sell from the same shelf, at the same prices, and payments run through licensed providers into your own payout account.

These Terms of Service ("Terms") cover vendorvib.com, every store we host (including a vendor's own custom domain), VendorVib on your phone once it is released, and the WhatsApp and social messaging services we run (together, the "Platform"). "Vendors" are the businesses that sell through VendorVib. "Buyers" are the people who buy from them or message them.

By accessing or using the Platform you agree to be bound by these Terms. If you do not agree, do not use the Platform.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to create a Vendor account. Buyers must be at least 16 years old or have parental consent. By using the Platform you represent that you meet these requirements.

3. Accounts

Vendors register with a valid email address and password, and may link a WhatsApp number so they can talk to their Business Manager. You are responsible for keeping your password, your PIN, your linked phone and your WhatsApp account secure, and for everything done under your account, including instructions sent from your linked WhatsApp number. Tell us at support@vendorvib.com immediately if you suspect unauthorised use.

If you invite team members or run more than one brand under your account, you are responsible for what they do on the Platform.

Buyers do not need an account to buy or to message a Vendor. A name and a phone number or email address are required at checkout so the Vendor can fulfil the order and we can send a receipt.

4. Your AI Team

You do not install VendorVib; you hire a team of two. The Business Manager keeps the business running. You give it instructions on WhatsApp or on the web, and it can add and edit products, change prices, run sales, create payment links, write captions, generate images, pull reports and message your customers. Publishing, discounting, refunding, deleting and changing a rule wait for your yes. It never moves a price outside your floor and never touches your payout account. Once you approve an action, it is yours, and everything that happens is on record.

The Sales Manager sells in the DMs you connect. It knows your products, your stock, your prices and your rules, takes a customer from "how much?" to paid, negotiates only inside the floor you set, sends the payment link and hands you the receipt. It never discounts past your floor, never refunds on its own, and steps back the moment you take over a conversation. Every message it sends is sent on your behalf and in your business's name, and you are responsible for it as if you had sent it yourself.

AI work is labelled as AI work, and AI makes mistakes. Review generated captions, images, prices and replies before you rely on them. Nothing the team produces is legal, tax or financial advice, and we do not guarantee any sales result.

AI usage is metered. Each plan includes an allowance of AI tasks and Sales Conversations, set out on our pricing page. When an allowance runs out the team pauses that work until the next cycle or until you top up.

5. Connected Channels

You may connect WhatsApp, Instagram, Facebook Messenger and TikTok accounts to VendorVib. Only connect accounts you own or are authorised to manage. Connections run through Meta's and TikTok's platforms and through our messaging partner, and you must follow those platforms' rules, including the WhatsApp Business and Commerce Policies, the Meta Platform Terms and TikTok's terms. We may disconnect a channel if a platform requires it or if it is used to break these Terms.

Your Business Manager talks to you from VendorVib's own WhatsApp number. Your Sales Manager talks to Buyers from your connected accounts. The number of channels you can connect depends on your plan. Where Meta charges for messages sent from your own WhatsApp Business account, Meta bills you directly under its own pricing.

6. Vendor Obligations

As a Vendor you agree to:

• Sell only products you have the legal right to sell, and describe, price and deliver them accurately.
• Deliver each order promptly after a successful payment, by the method shown on the product or agreed with the Buyer.
• Comply with all laws that apply to you, including consumer protection, data protection, tax and advertising rules.
• Message only people who have contacted your business or agreed to hear from you, and honour every opt-out immediately.
• Get a customer's permission before you publish their words, screenshots or photos as a testimonial.
• Not sell anything in the prohibited or restricted categories of our payment providers, including Paystack, Stripe and Flutterwave.

7. Prohibited Products and Activities

The following are strictly prohibited on VendorVib:

• Illegal goods, services or content of any kind.
• Adult, sexually explicit or pornographic content and services.
• Gambling, lotteries, sweepstakes or games of chance with monetary prizes.
• Counterfeit goods or content that infringes copyrights, trademarks or patents.
• Drugs, controlled substances, drug paraphernalia or cannabis products.
• Weapons, explosives or dangerous materials.
• Pyramid schemes, multi-level marketing, "get rich quick" schemes or any deceptive business practice.
• Financial products and services (lending, debt collection, money transmission) without the required licence.
• Content that promotes violence, hatred, discrimination or harassment based on race, religion, gender, sexual orientation, disability or any other protected characteristic.
• Fake testimonials, misleading claims, unsolicited bulk messaging or any other deceptive marketing.
• Using the AI team to generate any of the above, or attempting to make it act outside your own business.
• Any product or service prohibited by Paystack, Stripe or Flutterwave.

We may remove any listing, disconnect any channel, or suspend or terminate any Vendor account that breaks these rules, without prior notice.

8. Plans and Billing

VendorVib is sold as paid subscription plans, with a free trial for new Vendors. What each plan includes, its price and the trial length are set out on our pricing page and may differ by country. Subscriptions are billed in advance through Paystack (in naira) or Stripe (in other currencies) and renew automatically until you cancel. You can cancel at any time and keep access until the end of the period you have paid for.

Subscription fees are non-refundable except where the law requires otherwise. If a renewal payment fails we will retry it and give you a short grace period before the plan lapses to limited access. Add-ons such as extra channels or AI top-ups are billed the same way. We may change prices with notice to you before the change takes effect. You are responsible for any taxes that apply to your purchase.

9. Payments, Fees and Payouts

Buyer payments are processed by third-party providers: Paystack for Nigeria, Stripe for international payments, and Flutterwave in some other African markets. We never hold your money: every payment settles through the licensed provider into your own payout account. By using the Platform you agree to the terms of whichever provider handles your payments. Shop-counter and payment-link sales run on the same providers.

We charge a transaction fee on each successful online sale. The fee varies by provider and currency and is published on our fees page. Vendors may turn on "pass fees to buyers", which adds the fee to the price at checkout. Payments a Buyer makes to you directly, outside the Platform, carry no VendorVib fee and are not something we can see, process or protect.

Payouts go to the bank account you connect, on the schedule of the provider handling the payment. We are not responsible for delays, holds or failures caused by payment providers, banks or compliance checks. Chargebacks, disputes and refunds on your sales are your responsibility and may be deducted from your balance.

10. Shipping and Delivery

You set your own delivery methods, areas and prices. Where you book a courier through the Platform, the carriage contract is between you and the courier; VendorVib is not a carrier and is not responsible for pickup, transit or delivery.

11. Buyer Terms

When you buy on VendorVib you are buying from the Vendor, not from us. Refunds, exchanges and returns follow the Vendor's own policy; send those requests to the Vendor. By completing a purchase you authorise the charge to your chosen payment method, and you will receive a receipt and order details by email or WhatsApp.

When you message a Vendor's connected account, the reply may come from the Vendor's AI Sales Manager. Ask it whether you are talking to a person or an AI and it will tell you. Reply STOP at any time to stop automated replies and speak to the Vendor directly. Vendors you have bought from may send you updates on WhatsApp; you can opt out of those the same way.

12. Content and Intellectual Property

Vendors keep all rights in the content they upload: product photos, videos, descriptions, prices, policies and knowledge you give your AI team. You grant us a licence to host, display, copy and process that content, including giving it to the AI team, only as needed to run the Platform for you.

Content the team generates for you (captions, images, banners, replies, reports) is yours to use for your business. You are responsible for checking it before you publish it. We do not warrant that generated content is unique or free of third-party claims.

The VendorVib name, logo, storefront templates and platform design belong to TribeMingle. Do not use our branding without written permission. If you believe content on VendorVib infringes your rights, write to support@vendorvib.com with the details.

13. Custom Domains

You may point a domain you own at your storefront. You are responsible for registering and renewing it and for its DNS. We may stop serving a domain that you no longer control or that is used to break these Terms.

14. Account Termination

We may suspend or terminate your account at any time if you break these Terms, engage in prohibited activity, or if our payment or messaging providers or the law require it. On termination your storefront is taken down, your channels are disconnected, and any pending payouts are handled under the relevant payment provider's policy.

You may leave whenever you want and take your data with you: close your account by contacting support@vendorvib.com and ask for a copy of your data at the same time. Our Privacy Policy explains what we keep afterwards and why.

15. Disclaimers

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee uninterrupted, error-free or secure operation, and we do not guarantee that the AI team will be accurate, complete or suitable for any particular purpose.

We are not a party to transactions between Vendors and Buyers, and we do not guarantee the quality, legality or delivery of anything sold through the Platform. Third-party platforms and providers (Meta, TikTok, payment providers, couriers) may change or withdraw their services at any time, and we are not responsible for the consequences.

16. Limitation of Liability

To the maximum extent permitted by law, VendorVib and TribeMingle are not liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data, customers or business opportunity arising from your use of the Platform, including anything the AI team does or says.

Our total aggregate liability for any claim arising from or relating to these Terms or the Platform will not exceed the subscription fees you paid to VendorVib in the twelve (12) months before the claim.

17. Indemnification

You agree to indemnify, defend and hold harmless VendorVib, TribeMingle and their officers, directors, employees and agents from any claims, losses, damages, liabilities and expenses (including legal fees) arising from your use of the Platform, your content, your products, messages sent from your account or on your behalf, or your breach of these Terms.

18. Modifications

We may update these Terms from time to time. We will notify registered Vendors of material changes by email or WhatsApp. Continued use of the Platform after a change takes effect means you accept the updated Terms.

19. Governing Law

TribeMingle is registered in Nigeria and the United States. These Terms are governed by the laws of the Federal Republic of Nigeria and any dispute will be resolved in the courts of Nigeria, unless you are located in the United States, in which case the laws of the State of Delaware apply and disputes will be resolved in the courts of Delaware.
